i tried to upgrade to 12.3
Now its saying i am not registered.. added reg key again, says registered then reload page and its unregistered again, my site is now down ?

No, it is not down.
I think an object cache causes the problem -> https://forum.tagdiv.com/general-options-may-interfere-newspaper-theme/. Please check the guide and delete the file and try after to activate the theme.
